RULES FOR THE HACKATHON CHALLENGE 

  1. DEFINITIONS

A. “Challenge” means the AppForum 2015Hackathon software development competition.

B. “Application” means the application and supporting documentation created by Participants and submitted for the Hackathon which are subject to these Official Rules of the Contest.

C. “Challenge Criteria” means the specific criteria under which the Applications will be submitted for the Judging Contest, as presented to Participants at the start of the Hackathon.

D. “Contest Period” means the specific period of time from 10am to 10pm on October 12th 2015.

E. “Judging Panel” means a panel of judges from who have been appointed by Zebra Technologies to judge the Judging Contest.

F. “Judging Contest” means the contest where a Judging Panel will select winner(s) based on Challenge Criteria from all eligible entries.

G. “Participant” means all participants of the Challenge, whether working in teams or as individuals.

H. “Prize” means those prizes offered by Zebra Technologies at AppForum2015.

I. “Sponsor” or “Zebra Technologies” means Zebra Technologies UK Ltd., whose business address is Dukes Meadow, Millboard Road, Bourne End, Buckinghamshire. SL8 5XF UK and who is the entity conducting the Contest Including the administration and judging thereof.

  1. CONTEST REQUIREMENTS & APPLICATION SUBMISSION

A. No purchase necessary to win. This Challenge is void where prohibited, taxed or restricted by law.

B. The Challenge is effective 10am to 10pm on October 12th 2015

C. Applications will be accepted during the Contest Period.

D. All Applications must be physically created and developed by Participant or Participant’s team.

E. Participant agrees that Zebra Technologies’ receipt and consideration of the Application does not imply or create recognition by Zebra Technologies of either the novelty or originality of the Application.

F. Participant acknowledges that the creation of the Application and company’s participation in the Challenge are not confidential and that there is no requirement on Zebra Technologies to maintain their confidentiality.

I. Participant acknowledges that there is no requirement on Zebra Technologies to commercialize the Application and that there is no expectation by Participant of the formation of a business relationship of any kind with Zebra Technologies.

J. Participant agrees to timely and irrevocably waive for itself any and all “moral rights,” including, but not limited to rights under the Copyright Designs and Patents Act 1988 which Participant may have in the Application. Participant agrees to obtain in writing from any person performing work on Participant’s behalf a timely and irrevocable waiver of any and all such rights which such persons may have in the Application. Participant agrees that “timely waivers” means necessary waivers are made prior to submission of the Application to Zebra Technologies, and sufficiently early to be effective under any applicable laws.

  1. REPRESENTATIONS

By participating in the Challenge, the Participant represents and warrant as follows: (i) the Participant has the full right and legal capacity to participate and is not a party to any agreement that would condition or restrict Participant’s ability to participate; (ii) Participant is the sole and exclusive owner of the Application; (iii) Participant has the right and power to perform his or her or its obligations as set forth in this document and to grant rights herein contained; (iv) Participant has obtained all the necessary clearances, including, but not limited to copyright clearances, necessary for Sponsor to copy, display, broadcast, publicly perform or distribute the Application online as set forth herein without any financial obligation; (v) the rights granted to Sponsor via these Official Rules, including public display public performance, and reproduction of Application, will not violate or infringe upon the copyright, literary, privacy, publicity, trademark, service mark or any other personal property right of any person or entity and Application will not constitute a defamation of any third party; (vi) the

Application is wholly original with Participant and as of the date of submission, is not the subject of any actual or threatened litigation or claim; (vii) the Participant does not and will not violate any applicable laws, and is not and will not be defamatory, pornographic, or obscene. Participant hereby agrees to indemnify, defend and hold the Sponsor harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of Participant hereunder. Participant represents and warrants that they have the right and authority to legally bind the company they represent. By registering for the Challenge and/or submitting an entry Participant agrees explicitly that all components of its artwork and supporting statement are indeed original creations. Any intellectual property infringement, misuse or plagiarism of another’s work in any form or state will result in immediate disqualification and forfeiture of eligibility to receive all awards, recognition and prizes. Participant also agrees to allow the Sponsor to make public statements regarding any disqualifications and any grounds for disqualification.

  1. WINNER SELECTION PROCESS & JUDGING

For the Challenge, the Applications will be judged by the Judging Panel. The Judging Panel will review the Applications and select the Prize winners.

Entry constitutes permission to Zebra Technologies and its agencies to use winner’s names and/or likenesses worldwide for purposes of advertising and trade without further compensation, unless prohibited by law.

Zebra Technologies and its agencies are not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or in the announcement of prizes. Each Participant also must use its best efforts to obtain for Zebra Technologies similar rights from its employees, to the extent permitted by law, upon Zebra Technologies Solution’s request.

  1. NOTIFICATION & PRIZES

A. Winners of the Contest will be announced on Monday October 12th at the AppForum venue.

B. All properly claimed prizes will be awarded. In the case that a Participant is verified as a winner, prize will be awarded to that Participant and not its authorized representative. If any correspondence to a winner or any prize is returned as undeliverable, the corresponding prize will be forfeited and will be awarded to an alternate winner. Should a winner make any false statement(s) in any document referenced above, the winner will not be issued its prize. Upon delivery of winning notification, the Sponsor will be deemed to have awarded the prize to the winner.

C. No substitution or transfer of prize by winner is permitted.

D. By accepting a prize, winner agrees to hold Zebra Technologies, their respective directors, officers, employees and assigns, harmless against any and all claims and liability arising out of use or a receipt of prize. Prize winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Contest or use or redemption of any prize. Zebra Technologies accepts no responsibility for any tax implication that may arise from the prize. Winners will have to bear incidental costs, if any, that may arise from the redemption of the prize.

  1. INDEMNIFICATION

Participant agrees to indemnify, defend, and hold harmless Zebra Technologies, its officers, agents, and employees, from and against any and all liabilities, damages, claims, costs, and expenses, including reasonable attorney’s fees, suffered or incurred by Zebra Technologies relating to or arising from (i) negligent acts or omissions or willful misconduct by Participant or its employees or contractors; (ii) damage to any property and any injury to any person based on, arising out of, related to, occasioned by, or attributable to, in whole or in part, the use of, attempted use of, or inability to use the Applications by Participant or its employees, contractors or customers; and (iii) any failure by Participant, or its employees or contractors to perform or comply with the terms of these Official Rules.

  1. LIMITATION OF LIABILITY

A. TO THE FULL EXTENT PERMITTED BY LAW, ZEBRA TECHNOLOGIES DISCLAIMS ANY LIABILITY FOR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE APPLICATION ACTIVITIES DESCRIBED IN THESE OFFICIAL RULES.

B. TO THE FULL EXTENT PERMITTED BY LAW, ZEBRA TECHNOLOGIES DISCLAIMS ANY LIABILITY FOR REMOTE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOSS OF USE, EVEN IF ZEBRA TECHNOLOGIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  1. GENERAL

A. Zebra Technologies is not responsible for any technical problems, malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof that may limit Participant’s ability to participate in the Contest. Zebra Technologies is not responsible for any damage to any Participant’s computer system/software or wireless phone relating to or resulting from participating or uploading any materials in this competition.

B. If for any reason, the Contest cannot be conducted as planned by reason of infection by computer virus, unauthorized intervention, technical difficulties, lack of participation or any other causes beyond the control of the Zebra Technologies which, in the sole opinion of the Zebra Technologies, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Zebra Technologies reserves the right in their sole discretion to cancel, terminate, modify or suspend the Contest.

C. Zebra Technologies reserves the right to modify the Contest or disqualify any Participant if fraud, misconduct or technical failures destroy the integrity of the Contest as determined by Zebra Technologies, in its sole discretion. Any use of robotic, automatic, programmed or the like methods of participation will void all such submissions by such methods. Zebra Technologies reserves the right to prohibit participation if fraud or tampering is suspected, or if Participant fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules.

D. In the event Zebra Technologies is prevented from continuing with the Contest or the integrity and/or feasibility of the Contest is severely undermined by any event beyond Zebra Technologies’ control, including but not limited to fire, flood, epidemic, earthquake, explosion, labor disputes or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Zebra Technologies’ control (each a “Force Majeure” event or occurrence), Zebra Technologies shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel, or terminate the contest without any further obligation. If Zebra Technologies, in its discretion elects to abbreviate the Contest as a result of a Force Majeure event, winners will be determined from all valid and eligible submissions received up to the time of such Force Majeure event.

E. All Participants agree to be bound by Zebra Technologies’ terms of use and privacy agreement found at http://www.zebra.com/us/en/about-zebra/company-information/compliance/privacy-statement.html

F. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control. By participating in this Contest, Participants agree to be bound by these Official Rules and the decisions of the Zebra Technologies, its representatives and employees, which are final and not subject to further challenge.

G. These Official Rules are subject to the laws of England and Wales and to the exclusive jurisdiction of the courts of England & Wales.
